Default Leaving Partnership LLC is good for Long Term Gains? - 05-29-2008

Hi,

I am potentially leaving an LLC partnership that I have been a part of for over 5 years. The buyout of my membership units will more than likely not come from my two partners but from cash we are keeping on hand within the company. If my payment for my membership units comes from the cash on the company's books, is that still a long term capital gain for me and I am taxed at 15%? Or does the buyout need to come from a partner instead buying me out so I can receive capital gain treatment? Any insight would be great here.

If you have Limited Liability company you can gain a lot of tax in long term. I was have partnership with a company for over 10 years and was limited partnership but due to tax problem we have dissolute those company!
